Terms of Service

Last updated: August 24, 2026

These Terms of Service (the "Terms") govern access to and use of the Nutrios platform (the "Service"). They apply to any Practice, its Staff and, for the provisions concerning them, its Patients. Creating an account or using the Service constitutes full and unconditional acceptance of these Terms.

1. Purpose of the service

Nutrios is a SaaS (Software as a Service) software platform designed for nutrition practices and their healthcare professionals. It enables the management of a practice's patients, meal plans, agenda, billing and patient portal, all in one place.

2. Definitions

"Practice" refers to the professional structure — a self-employed practitioner or a multi-professional practice — that subscribes to the Service and holds the main account.

"Staff" refers to users attached to a Practice (nutritionist, dietitian, front-desk, administrative staff) who have named access to the Service according to the role assigned to them by the Practice.

"Patient" refers to any individual whose data is recorded by a Practice in the Service, as well as, where applicable, any Patient with access to their own patient portal.

"Account" refers, depending on context, to the Practice account, a Staff account or a Patient account created on the Service.

3. Trial period and subscription

Every new sign-up benefits from a free trial period, the duration of which is indicated at sign-up and on the pricing page, with no credit card required to take advantage of it.

At the end of the trial period, access to the Service is subject to a paid annual subscription. The subscription is activated manually by the Nutrios team after payment has been received and confirmed.

Unless mandatory law provides otherwise, no refund — in full or pro rata — is due in the event of early termination of the subscription at the Practice's initiative, whatever the reason.

In the event of non-payment by the due date, Nutrios reserves the right to suspend access to the Service until payment is regularized, after prior notice to the Practice, without such suspension giving rise to any compensation.

4. A tool, not medical advice

Nutrios is a software tool for management and follow-up made available to healthcare professionals. Nutrios is in no way a medical device, does not make any diagnosis and does not issue any therapeutic recommendation.

Any data calculated, displayed or suggested by the Service — caloric needs, macronutrient breakdown, follow-up charts, or any other indicator — is provided for purely informational purposes and cannot substitute for the healthcare professional's clinical judgment.

The healthcare professional remains solely and fully responsible for their clinical decisions, for the accuracy of the data they enter or validate in the Service, and for the compliance of their prescriptions, meal plans and recommendations with the rules of their profession and the regulations applicable to them. Nutrios disclaims all liability in this respect.

5. Patient data, confidentiality and security

The Practice remains the data controller, within the meaning of applicable personal data protection regulations, for the data of its Patients that it records in the Service. Nutrios acts as a data processor and processes this data only on behalf of the Practice and according to its instructions.

It is up to the Practice to obtain, where applicable, the consent of its Patients before recording their data in the Service, and to inform them of their rights.

Nutrios implements reasonable technical and organizational security measures to protect the confidentiality, integrity and availability of the hosted data, as well as regular backups.

Data is kept for the entire duration of the subscription, then for a reasonable period after termination allowing the Practice to request an export, before deletion. The Practice may at any time request the export of its data in a usable format, as well as the permanent deletion of all or part of its data, subject to any legal retention obligations that may apply to Nutrios.

6. Service availability

Nutrios makes every effort to ensure continuous availability of the Service, without however guaranteeing a total absence of interruption, error or malfunction. The Service is provided "as is" and "as available", on a best-effort basis.

Maintenance operations, planned or not, may cause temporary interruptions in access. Nutrios strives, as far as possible, to inform Practices in advance of planned maintenance operations likely to significantly affect access to the Service.

7. Limitation of liability

To the extent permitted by applicable law, Nutrios shall not be liable for indirect damages — loss of revenue, loss of clientele, loss of data beyond what existing backups allow to restore, or reputational harm — resulting from the use or inability to use the Service.

In any event, and within the same limits, Nutrios' total liability is capped at the total amount actually paid by the Practice during the twelve (12) months preceding the event giving rise to the damage.

8. Intellectual property

The Service, its software, its architecture, its interfaces and all the elements that make it up — except for the data belonging to each Practice and its Patients — remain the exclusive property of Nutrios / Softbyn. No provision of these Terms shall be interpreted as transferring any intellectual property right over the Service.

The Practice retains full ownership of the data it records in the Service, subject to the right of use necessary for Nutrios to operate the Service.

9. Acceptable use and termination

The Practice and its Staff undertake to use the Service in accordance with its purpose, applicable regulations and the ethical rules of their profession, and not to compromise the security, integrity or proper functioning of the Service.

The Practice may terminate its subscription at any time according to the terms indicated in its management space or by contacting Nutrios. Nutrios may suspend or terminate access to the Service in the event of a serious or repeated breach of these Terms, after formal notice has gone unheeded, except in an emergency.

10. Changes to the Terms

Nutrios may change these Terms at any time, in particular to reflect legal, regulatory or functional developments of the Service. Any substantial change is communicated to Practices in advance, by any appropriate means, before it takes effect. Continued use of the Service after it takes effect constitutes acceptance of the amended Terms.

11. Governing law and jurisdiction

These Terms are governed by Tunisian law. Any dispute relating to their validity, interpretation or performance that cannot be resolved amicably falls under the exclusive jurisdiction of the courts of Tunis.

12. Contact

For any question relating to these Terms or to the use of the Service, the Practice may contact Nutrios via the contact details provided in its management space.
